Terms of Use Agreement for the Bridal Tailoring Specialist Certification Course on The TEWS Education Academy

 

Effective Date: June 1st, 2023

 

This Terms of Use Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Tanis Emmett Bridal Atelier Alterations Boutique Inc. ("Company," "we," or "us"), governing your use of the Bridal Tailoring Specialist Certification Course ("Course") offered on The TEWS Education Academy website ("Website"). By accessing or using the Course, you agree to be bound by the terms and conditions set forth in this Agreement.

 

1. Course Access and License

 

1.1 Access Grant: The Company grants you a non-exclusive, non-transferable, limited license to access and use the Course materials for your personal educational purposes. You may only access the Course if you have enrolled in and paid for the Course through the Website.

 

1.2 Intellectual Property: The Course and all associated materials, including but not limited to text, graphics, images, videos, audio recordings, and other content, are the property of the Company and protected by intellectual property laws. The Company retains all rights, title, and interest in and to the Course and its materials. You acknowledge and agree that the Course and its materials are licensed, not sold, to you.

 

2. Restrictions on Use

 

2.1 Prohibited Actions: You agree to use the Course and its materials solely for your personal educational purposes and in compliance with all applicable laws and regulations. You shall not:

 

a) Modify, copy, reproduce, distribute, display, perform, publish, license, create derivative works from, or sell any part of the Course or its materials without prior written consent from the Company.

b) Circumvent, disable, or otherwise interfere with any security-related features of the Course or the Website.

c) Use the Course or its materials for any commercial purpose or in any manner that could harm the reputation or business interests of the Company.

d) Share, disclose, or allow unauthorized access to your Course login credentials or any Course materials with any third parties.

 

2.2 Limited Exception: Notwithstanding the above, you may make reasonable copies of the Course materials for your personal use, provided that all copyright and proprietary notices are maintained.

 

3. Intellectual Property Rights

 

3.1 Company's Ownership: You acknowledge and agree that the Company owns all intellectual property rights in the Course and its materials. No transfer or grant of any rights is made or implied by this Agreement except for the limited license explicitly granted in Section 1.1.

 

3.2 Trademarks: The Company's name, logos, and any other product or service names associated with the Course are trademarks owned by the Company. You shall not use these trademarks without prior written permission from the Company.

 

4. Disclaimers and Limitation of Liability

 

4.1 No Warranty: The Course and its materials are provided on an "as-is" and "as available" basis without warranties of any kind, whether express or implied. The Company disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

4.2 Limitation of Liability: To the maximum extent permitted by applicable law, the Company and its affiliates, directors, officers, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the Course or this Agreement.

 

5. Termination

 

5.1 Termination by Company: The Company may, at its sole discretion, terminate your access to the Course and this Agreement at any time, with or without cause, and without notice or liability.

 

5.2 Termination by User: You may terminate this Agreement by discontinuing your use of the Course and providing written notice to the Company. However, such termination shall not entitle you to any refund or reimbursement for any fees paid for the Course.

 

5.3 Effect of Termination: Upon termination of this Agreement, your access to the Course and its materials shall cease immediately. You shall delete or destroy any downloaded or printed Course materials in your possession.

 

6. Governing Law and Jurisdiction

 

6.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of laws principles.

 

6.2 Jurisdiction: Any legal action or proceeding arising out of or relating to this Agreement or the Course shall be subject to the exclusive jurisdiction of the courts located in the province of Ontario, Canada.

 

7. Miscellaneous

 

7.1 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding the Course and supersedes all prior or contemporaneous understandings and agreements.

 

7.2 Modifications: The Company reserves the right, at its sole discretion, to modify or replace any part of this Agreement. Any changes to this Agreement will be effective immediately upon posting on the Website. It is your responsibility to review this Agreement periodically for any updates or changes.

 

7.3 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed from the Agreement, and the remaining provisions shall remain in full force and effect.

 

7.4 Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

 

By accessing and using the Bridal Tailoring Specialist Certification Course on The TEWS Education Academy, you acknowledge that you have read, understood, and agreed to be bound by this Terms of Use Agreement. If you do not agree to these terms, you must not access or use the Course.
